1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Aditya Labs platform operated by B Mohan, trading as Aditya Labs, based in Watford, United Kingdom.

By accessing or using the Aditya Labs platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. The Service is operated by Aditya Labs ("we", "us", or "our").

Aditya Labs is currently operated as a sole proprietorship. Limited company formation (Ltd.) is in progress under UK Companies House.

2. Description of Service

Aditya Labs provides a no-code platform for creating, deploying, and managing AI-powered agents for small and medium businesses. Our Service includes an agent builder, chat widget, knowledge base management, analytics, and related tools.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Generate harmful, misleading, or deceptive content
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to any systems
• Use the Service for spam, harassment, or illegal activities

5. Subscriptions and Billing

Some features of the Service require a paid subscription. Billing is handled through Stripe. You may cancel your subscription at any time. All paid plans include a 14-day money-back guarantee from the date of initial subscription. If you are not satisfied, contact us within 14 days for a full refund — no questions asked. After the 14-day period, refunds are handled on a case-by-case basis. We reserve the right to change pricing with 30 days' notice.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Aditya Labs. You retain ownership of any content you create using the Service, including agent configurations and knowledge base entries.

7. AI-Generated Content

AI agents created through our platform generate responses using artificial intelligence. While we strive for accuracy, we do not guarantee the correctness, completeness, or reliability of AI-generated content. You are responsible for reviewing and monitoring your agents' responses.

8. Limitation of Liability

Aditya Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service. Our total liability shall not exceed the amount you have paid us in the 12 months prior to the claim.

9. Termination

We may terminate or suspend your account at any time for violation of these terms. You may delete your account at any time through the Settings page. Upon termination, your right to use the Service will immediately cease.

10A. API Terms of Use

If your plan includes API access (Business plan and above), the following additional terms apply to your use of the AgentForge API:

• Rate Limits: API calls are subject to rate limits based on your plan tier. Exceeding these limits may result in temporary throttling (HTTP 429 responses). We reserve the right to adjust rate limits with 14 days' notice.
• Permitted Use: You may use the API to integrate AgentForge functionality into your own applications, internal tools, or client-facing products (for Agency plans). Reselling raw API access is not permitted without a separate reseller agreement.
• API Key Security: You are solely responsible for the security of your API keys. Do not share keys in client-side code, public repositories, or unsecured environments. Compromised keys should be revoked immediately via Settings > API Keys.
• Prohibited Activities: Scraping, reverse engineering, or attempting to extract underlying AI model weights via the API is strictly prohibited. Automated abuse, denial-of-service attacks, or circumventing rate limits will result in immediate key revocation.
• Liability: We provide the API “as is” and are not liable for downtime, data loss, or errors arising from API integrations you build. We commit to providing 7 days' notice before making breaking changes to API endpoints.
• SLA: API uptime target is 99.9% for Business and Enterprise plans, measured monthly. Scheduled maintenance windows are excluded from uptime calculations and will be communicated 48 hours in advance.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. If you are a consumer in the EU/EEA, you retain the benefit of any mandatory consumer protection provisions of your country of residence.

12. Dispute Resolution

Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales. Each party shall bear its own costs. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

13. Indemnification

You agree to indemnify and hold harmless Aditya Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new terms.
